These Terms are the agreement between you and Synergy Relations LLC for the use of our software platforms. Please read them — they set out what you are paying for, what you may and may not do, who owns what, how we protect the people you serve, and what happens if something goes wrong.
Please note. Section 19 contains a binding arbitration agreement and a class action waiver that affect how disputes between us are resolved. Section 17 limits our liability to you.
1. Your agreement with us
These Terms of Service ("Terms") form a legal agreement between Synergy Relations LLC, a limited liability company organized in Washington ("Synergy," "we," "us"), and the individual or entity that opens an account ("you," "Customer"). By creating an account, subscribing, or using any of our Platforms, you accept these Terms. If you are accepting on behalf of a business, you confirm you have authority to bind it, and "you" means that business.
These Terms incorporate our Privacy Policy, AI Disclosure, Cookie Notice and Data Deletion Instructions. A Platform may also show additional product-specific terms for a particular feature; where it does, those also apply. If you do not agree, do not use the Platforms.
2. What the Platforms are
Synergy Relations builds and runs subscription software for professionals and businesses. The "Platforms" covered by these Terms are:
| Platform | What it is |
|---|---|
| SynergyMP | Mediation case-management platform for mediators and mediation practices |
| SynergyTP | Tax practice-management platform for tax professionals and firms |
| Social Butterfly | Social media content planning and publishing |
| Abbicus.ai | Tax preparation technology |
The Platforms are tools. They help you run your own practice or business; they do not provide mediation, tax, legal, financial or other professional services, and we do not review, approve or take responsibility for the work you do with them. These Terms do not cover the professional services of Compass Mediation Group or Compass Tax Center, which are separate businesses with their own terms.
We may add, change, or remove features over time. If we discontinue a material feature you are paying for, we will give you reasonable advance notice and, if you are on a paid plan, a prorated refund for the unused portion if you choose to cancel as a result.
3. Customers, their clients, and our role
Our Customers are the professionals and businesses who subscribe to a Platform — for example, a mediation practice or a tax firm. Your clients (such as parties to a mediation or a firm's taxpayers) may use the Platform through your customer site.
- Your own account and content. You control your account, your settings, and the content and client records you put into the Platform. You decide what information you collect from your clients and how you use it.
- Our role for your clients' information. For information about your clients, we act as your service provider: we process it only to run the Platform for you and on your instructions, as described in our Privacy Policy. You are responsible for giving your clients any privacy notice they are owed and for having the right to collect and use their information.
- Your professional duties remain yours. A mediator's confidentiality obligations, and a tax professional's duties — for example, under Internal Revenue Code section 7216 and the FTC Safeguards Rule — stay with you. The Platforms are built to support those duties, but using our software does not transfer them to us or relieve you of them.
4. Eligibility and your account
- You must be at least 18 years old and able to form a binding contract.
- You must provide accurate registration information and keep it current.
- You are responsible for keeping your password confidential and for everything that happens under your account, including actions by team members you invite.
- You must not share login credentials. Each person needs their own login.
- Tell us immediately at [email protected] if you suspect unauthorized access.
- You may not open an account if we have previously terminated you, or if you are barred from receiving services under U.S. law.
Workspace owners. If you invite others into your practice's workspace, you are responsible for their compliance with these Terms, for the permissions you grant them, and for removing access when they leave. You are also responsible for having the authority to connect any outside service you add.
5. Subscriptions, billing and cancellation
Plans and charges
Each Platform is sold on a recurring subscription. Your plan, price, billing period and any usage limits are shown at checkout and in your account. Prices are in U.S. dollars and exclude taxes, which we will add where required. We use a third-party payment processor and do not store full card numbers.
Automatic renewal
Your subscription renews automatically at the end of each billing period at the then-current rate, and your payment method is charged on the renewal date, until you cancel. By subscribing, you authorize us and our payment processor to store your payment method and charge it on a recurring basis.
Cancelling
You may cancel at any time in your Platform's billing settings, or by emailing [email protected]. Cancellation takes effect at the end of the current billing period. You keep access until then, and you are not charged again. Cancelling does not by itself delete your data — see the Data Deletion Instructions and the retention rules in our Privacy Policy.
Refunds
Except where the law requires otherwise, fees are non-refundable and we do not provide refunds or credits for partial periods, unused features, or downgrades. We may make exceptions at our discretion. If we terminate your account for a reason other than your breach, we will refund the unused portion of any prepaid fees.
Free trials
If we offer a free trial, we will tell you its length and what happens at the end. Unless you cancel before the trial ends, your plan converts to a paid subscription and your payment method is charged. One trial per customer.
Failed payments
If a payment fails, we may retry it and may suspend your account until it clears. If a balance stays unpaid for 30 days, we may terminate the account and delete its data. Because that data may include client records you are required to keep, please keep your billing current and export your records before any lapse.
Price changes
We may change prices. We will give you at least 30 days' notice by email before a change applies to your subscription, and the new price takes effect at your next renewal. If you do not agree, cancel before that renewal.
Chargebacks
Please contact us before disputing a charge with your bank. We may suspend an account with an unresolved chargeback.
6. Connecting outside services
Many features work by connecting an outside service you already use — for example Google or Microsoft 365 for email and calendar, Zoom or Microsoft Teams for meetings, Square, Stripe or PayPal for payments, e-signature and messaging providers, and (for Social Butterfly) your social media accounts. When you connect a service, you represent that:
- You own the account, or are authorized by its owner to connect it and act through it.
- You will comply with that service's own terms, developer terms, and acceptable-use and API policies.
- You will not use a Platform to evade a service's rate limits, restrictions, suspensions or bans.
Outside services are outside our control. A provider can change its interface, change its rules, deprecate a feature, throttle requests, or revoke our access, at any time and without notice. We may therefore lose the ability to support a service or a feature, temporarily or permanently. We are not liable for actions that fail, run late, or produce a degraded result because of a provider's decisions, outages, rate limits or policy changes, even where that costs you time, a deadline, or revenue. You can disconnect any service at any time, and you should also revoke our access from within that service's own settings.
7. Your use and your professional responsibilities
You are responsible for your own work. The content, documents, case and client records, messages, filings, posts and other materials you create or handle on a Platform are yours and your responsibility, whether you created them, a team member did, or an AI feature helped draft them. You are solely responsible for reviewing your work before it is sent, filed, published or relied upon, and for its accuracy, legality and suitability.
You are responsible for complying with every law, rule and professional standard that applies to your practice, including, as relevant to you:
- Your professional and ethical duties as a mediator, tax professional, or other licensed or regulated practitioner, including confidentiality and conflict-of-interest rules.
- Tax-practice rules, including Internal Revenue Code section 7216 and related rules on the use and disclosure of taxpayer information, IRS requirements such as the Written Information Security Plan under the FTC Safeguards Rule, and Circular 230 where it applies to you.
- Privacy and data-protection law covering the information you collect from your clients.
- Advertising, consumer-protection and disclosure law for any marketing content, and each platform's rules for content published through Social Butterfly.
- Intellectual property, publicity and privacy rights in anything you upload or publish.
Scheduled and automated actions are best-effort. Where a Platform sends a message, publishes a post, or performs a scheduled task on your behalf, we aim to do so at the requested time, but we do not guarantee delivery or exact timing. Verify anything time-sensitive, and keep your own copy of records you cannot afford to lose.
8. Acceptable use
You may not use a Platform to create, send, publish or store content, or to take any action, that:
- Is unlawful, fraudulent, deceptive, or a scam, including impersonating any person, brand or organization.
- Infringes anyone's copyright, trademark, trade secret, publicity or privacy rights.
- Harasses, threatens, defames, or incites violence against any person or group, or promotes hatred based on race, ethnicity, national origin, religion, disability, sex, gender identity or sexual orientation.
- Sexualizes minors in any way, or is otherwise harmful to children.
- Is spam, bulk unsolicited messaging, or (on Social Butterfly) artificially inflates followers, likes or views.
- Contains malware, or attempts to phish, harvest credentials, or obtain data without authorization.
- Promotes illegal goods or services, or violates export control or sanctions law.
You also may not:
- Reverse engineer, decompile, or attempt to derive the source code of a Platform.
- Copy, resell, sublicense, rent, or provide a Platform to a third party, except to serve your own clients under your subscription.
- Scrape, crawl, or bulk-extract data from a Platform by automated means, other than through an API we provide.
- Probe, scan or test the security of our systems, bypass rate limits or access controls, or interfere with a Platform or anyone else's use of it.
- Use a Platform to build a competing product, or to benchmark it for a competitor.
- Use the output of our AI features to train, fine-tune or evaluate a machine learning model.
- Remove or obscure any proprietary notices.
We may investigate suspected violations and may remove content, suspend features, or suspend or terminate an account. Where practical we will contact you first, but for serious or urgent violations we may act immediately.
9. Your content and the permission you give us
You own your content. The documents, records, messages, brand assets and everything else you or your clients upload or create in a Platform ("Customer Content") remains yours (or your clients'). We claim no ownership of it.
You grant Synergy Relations LLC a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, reformat, display and deliver your Customer Content solely to operate and provide the Platforms to you — for example, storing a case file, generating a document you requested, sending a booking confirmation, or transmitting a post to a social platform on your instruction. This license ends when you delete the content or close your account, except for copies retained in routine backups for the period described in our Privacy Policy.
We will not use your Customer Content to advertise the Platforms, or in any public case study, without your written permission.
You represent that you own or have all rights necessary to your Customer Content and that your use of it will not violate any law or third-party right.
10. Our intellectual property
The Platforms — the software, interfaces, design, documentation, and the names "Synergy Relations," "SynergyMP," "SynergyTP," "Social Butterfly," "Abbicus.ai," the AI assistant names, and our logos — are owned by Synergy Relations LLC and protected by intellectual property law. Subject to these Terms and your payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Platforms you subscribe to, for your own business purposes, during your subscription. All rights not expressly granted are reserved. You may not use our name or logo without permission, except to accurately state that you use the Platform.
Feedback. If you send us ideas, suggestions or feature requests, you grant us an unrestricted, perpetual, royalty-free right to use them without any obligation or compensation to you.
Aggregated data. We may compile de-identified, aggregated statistics about how the Platforms are used and may use and publish them, provided they do not identify you, your clients, or your content.
11. AI features
Some Platforms include optional AI assistants that draft, research, summarize or rewrite material at your request. You must read and comply with our AI Disclosure, which forms part of these Terms. In short: AI output can be wrong, biased, outdated, or unintentionally similar to existing material; you must review and verify everything before relying on it, sending it, filing it, or publishing it; AI output is never legal, tax, mediation or other professional advice; and we make no warranty that it is accurate, original, non-infringing or fit for your purpose.
As between you and us, you own the content our AI features produce for you, to the extent such rights exist. Because AI output is generated from statistical models, we cannot and do not guarantee that it is unique, or that similar output has not been or will not be produced for someone else.
12. Third-party services
The Platforms rely on and link to third-party services, including the outside services you connect, our hosting and AI providers, and our payment processor. Your use of a third-party service is governed by that provider's terms, not ours. We are not responsible for third-party services, and their availability, accuracy and security are outside our control.
13. Availability and support
We aim to keep the Platforms available and to respond to support requests promptly, but unless we have signed a separate written service level agreement with you, the Platforms are provided without any uptime commitment. We may perform maintenance, and will try to schedule significant maintenance outside peak hours and to give notice where practical.
14. Suspension and termination
By you. Cancel at any time as described in section 5.
By us. We may suspend or terminate your account, with or without notice, if you breach these Terms, if your payment fails, if your use creates a legal or security risk to us or to others, or if a connected service requires it. We may also terminate any account on 30 days' notice for convenience, with a prorated refund of prepaid fees.
What happens next. On cancellation or termination, your customer site moves to a read-only state for 30 days so you can export your records, and our access to your connected services is revoked; after that, your data is deleted on the schedule in our Privacy Policy. Because your records may include client information you are legally required to retain, exporting them during this window is your responsibility.
Sections 9 (your content license as it relates to backups), 10, 15, 16, 17, 18, 19 and 21 survive termination.
15. Your promises to us
You represent and warrant that: you have the authority to enter these Terms; the information you give us is accurate; you own or are authorized to manage every outside service you connect; you hold all rights necessary to your Customer Content; you have the right to collect and use any client information you put into the Platform and have given your clients any notice they are owed; and your use of the Platforms will comply with all applicable laws, professional standards, and the terms of every service you connect.
16. Disclaimers
The Platforms are provided "as is" and "as available." To the fullest extent permitted by law, Synergy Relations LLC disclaims all warranties, express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant that: a Platform will be uninterrupted, timely, secure or error-free; messages, filings or posts will succeed or arrive on time; data from a connected service will be accurate or complete; AI output will be accurate, original or suitable; or that defects will be corrected. The Platforms do not provide professional advice, and nothing they produce is a substitute for your own professional judgment.
Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
17. Limitation of liability
To the fullest extent permitted by law:
- No indirect damages. Neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, or business interruption, even if advised such damages were possible.
- Cap on liability. Synergy Relations LLC's total aggregate liability arising out of or relating to these Terms or the Platforms will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
These limits apply regardless of the legal theory and even if a limited remedy fails of its essential purpose. They do not apply to liability that cannot be limited by law. Some jurisdictions do not allow these limitations, so they may not fully apply to you.
18. Indemnification
You agree to defend, indemnify and hold harmless Synergy Relations LLC and its members, officers, employees and contractors from any claim, demand, loss, liability, damage, fine or expense, including reasonable attorneys' fees, arising out of or related to: your Customer Content; your clients and your handling of their information; anything created, sent, filed or published through your account; your use of the Platforms; your breach of these Terms or of any connected service's terms; or your violation of any law, professional standard or third-party right. We will notify you of any such claim and may participate in its defense with counsel of our choosing. You may not settle a claim in a way that imposes any obligation on us without our written consent.
19. Disputes, arbitration and governing law
Talk to us first. Before starting a formal proceeding, please email [email protected] with a description of the dispute. We will try in good faith to resolve it within 30 days.
Governing law. These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act as to arbitration.
Binding arbitration. Any dispute that is not resolved informally will be settled by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its commercial rules, seated in Seattle, Washington, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. Disputes will be brought only in an individual capacity. Neither of us may bring a claim as a plaintiff or class member in any class, consolidated or representative proceeding, and the arbitrator may not consolidate claims or preside over a class proceeding. If this waiver is found unenforceable, the entire arbitration agreement is void.
Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information.
Opt out. You may reject this arbitration agreement by emailing [email protected] with the subject "Arbitration Opt-Out" within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.
Time limit. Any claim must be brought within one year after it arises, or it is permanently barred, unless the law forbids such a limit.
20. Changes to these Terms
We may update these Terms. We will post the revised version here with a new "Last updated" date, and for material changes we will give you at least 30 days' notice by email or in the Platform. Changes apply from the effective date and, for subscription terms, from your next renewal. If you do not accept a change, cancel before it takes effect. Continuing to use a Platform after that means you accept the new Terms.
21. General
- Entire agreement. These Terms and the policies they incorporate are the entire agreement between us about the Platforms and replace any earlier understanding.
- Severability. If a provision is held unenforceable, it is modified to the minimum extent needed, and the rest remains in force.
- No waiver. Not enforcing a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including provider outages, internet failures, natural disasters, and government action.
- No third-party beneficiaries. These Terms create no rights for anyone other than you and us.
- Notices. We may send notices to the email on your account; you may send notices to [email protected].
- Relationship. Nothing here creates a partnership, joint venture, employment or agency relationship.
